Terms of Service

Last updated:

1. Agreement and Scope

These Terms of Service (“Terms”) are a binding agreement between Operio AI Inc. (“Operio,” “we,” “us”) and the person or organization using our AI-powered quality-assurance platform (“Customer,” “you”). They cover the Operio website at www.operio.run, the application at app.operio.run, web and mobile testing, AI agents, APIs, CLI, MCP connections, integrations and related services (the “Service”). By registering, selecting a paid plan or affirmatively accepting these Terms, you agree to them. If you act for a business, you confirm you are authorized to bind it. We keep an electronic record of acceptance, including the accepting user and organization, the date and time, and the version of these Terms. Where presented, we also record acknowledgment of the Privacy Policy and its version.

Paid self-service subscriptions are monthly and do not create a fixed annual commitment. A separately accepted enterprise agreement or order form governs its stated scope if it expressly conflicts with these Terms. A signed Data Processing Agreement (“DPA”) prevails for personal-data processing within its scope.

2. Accounts and Authorized Administrators

The Service is intended for business and professional testing. You must provide accurate account and billing information, control member permissions, and protect credentials, API keys, tokens and test accounts. You are responsible for activities by users and administrators whom you authorize, except to the extent caused by Operio’s breach or wrongful conduct. Notify support@operio.run promptly of suspected unauthorized access.

Your authorized administrators may manage subscriptions, change plans, enable On-Demand Usage and set spending limits directly through available in-product controls, without prior approval from Operio. Confirming an action authorizes the associated charges displayed at that time.

3. Authorized Testing and Acceptable Use

You may test only applications, systems and environments that you own or are lawfully authorized to test. You control the test objectives, environment, accounts, permissions and input data. Automated tests may change data, send communications, submit orders, initiate payments or trigger other live actions. Use staging environments, dedicated test accounts, masked or synthetic data and appropriate backups whenever practicable.

You must not use the Service for unauthorized access, unlawful or destructive testing, malware, disruptive activity, misuse of credentials, evasion of technical or spending limits, infringement, unauthorized resale, or reverse engineering except as permitted by law. Operio uses commercially reasonable controls intended to keep AI-agent actions within authorized scope and may pause activity presenting a material security or integrity risk.

4. Monthly Plans and Included Credits

Each paid self-service plan renews automatically every month unless canceled. The selected price, Included Credits, project and member limits, parallel-agent capacity and other plan features are those displayed at checkout or in your billing interface. Included Credits are monthly testing-usage units, not money. They are consumed first, reset on the displayed monthly usage-cycle date, have no cash value, and do not roll over unless an express offer says otherwise. Credit consumption is determined by the usage rules shown in the Service or Documentation.

If credits or capacity run out, certain tests may pause, stop or be queued; exceeding a limit does not automatically upgrade the plan. The monthly usage cycle for credits and spending caps may differ from the monthly subscription billing date.

5. Optional On-Demand Usage and Spending Caps

On-Demand Usage is off by default. If an authorized administrator enables it, eligible test executions may continue after Included Credits are exhausted, at the additional-credit rate shown before activation. Activation requires an approved payment method and a monthly additional-spend limit chosen by the administrator. The limit applies to aggregate On-Demand usage across concurrent runs, resets each monthly usage cycle, and excludes applicable taxes. Operio may pause new or active runs to respect the cap and will not charge for usage above an authorized cap without further authorization.

Actual On-Demand charges may be collected at disclosed billing thresholds, at the end of the usage cycle or when the subscription ends. Turning On-Demand off prevents new extra paid usage but does not reverse charges already incurred. Canceling future subscription renewal does not automatically switch off On-Demand for the remainder of an active paid period; you can disable it separately in Spending.

6. Payments, Plan Changes and Cancellation

Subscription fees are charged in advance for each monthly billing period through the payment method you authorize. You also authorize charges for separately enabled On-Demand Usage. Prices exclude applicable taxes unless stated otherwise. Payments may be processed by Stripe or another payment provider identified at checkout. If an undisputed subscription payment remains overdue, we may suspend affected paid features after at least seven days’ notice, except where urgent action is justified by fraud or serious security risk.

Upgrade: An authorized administrator may upgrade at any time through the billing interface. After confirmation and successful payment, the new plan takes effect immediately. We charge the prorated incremental price for the rest of the current billing period, accounting for the unused prepaid portion of the former plan. The new full monthly price applies from the next billing period.

Downgrade: An authorized administrator may request a downgrade at any time. It takes effect at the start of the next billing period. The current plan and fees remain in effect until then, with no automatic partial-period refund. The interface must show the new plan, effective date, price and relevant credit or capacity changes before confirmation. No plan change creates an annual commitment.

You may cancel future renewal at any time through the billing interface. Access ordinarily continues until the end of the paid period. Except where law requires otherwise or we expressly agree, paid subscription fees, unused time and unused Included Credits are not refundable. Already incurred charges remain due. We may change plan prices or additional-credit rates with at least 30 days’ advance notice to existing paid subscribers; a subscription-price increase applies no earlier than renewal after that notice, and an On-Demand rate increase applies only to future usage after its effective date.

7. Platform Rights, Customer Data and AI Training

Operio owns its platform, software, AI-agent architecture, interfaces, models, templates and general improvements. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the subscribed Service for lawful testing. You keep your rights to applications, test inputs, credentials, Customer-specific test cases, reports and outputs (“Customer Data”), subject to third-party rights. You may share your reports with your clients, advisers, auditors and regulators subject to confidentiality and privacy obligations.

Operio does not use, and does not permit its AI service providers to use, Customer Data or Customer-specific outputs—including prompts, credentials, screenshots, recordings, logs and test evidence—to train, fine-tune or otherwise update any AI or machine-learning model, under any circumstances, including with Customer consent. AI providers may process relevant data solely to carry out requested tests and provide, secure or support the Service; such processing is inference, not model training. We may use aggregated, non-identifying operational metrics to improve platform reliability, security and performance, but never to train models. We may use general feedback voluntarily provided without using Customer Data for training.

8. Test Evidence and Report Sharing

Tests may capture screenshots, video, logs, prompts, application responses and other evidence containing personal or confidential information. Customers may choose to share test reports through public links. Anyone holding an active link may view the shared report and its related evidence without signing in.

Customers are responsible for reviewing the content they choose to share, sharing links only with appropriate recipients and revoking access when it is no longer needed through the available controls. Operio remains responsible for its own applicable security and data-protection obligations.

9. Confidentiality, Privacy and Security

Each party will use reasonable care to protect the other’s nonpublic business, technical and security information and disclose it only to persons who need it for the Service under suitable confidentiality duties, or as required by law. These duties continue for three years after the relationship ends, except trade secrets for as long as legally protected and credentials while retained.

Our Privacy Policy explains handling of personal information. You are responsible for lawful test instructions, necessary consents or notices and authorization to submit test data; Operio remains responsible for its own applicable privacy and security duties. Where law requires a DPA for processing on your behalf, it must be agreed before that processing. Operio may use appropriate hosting, cloud-device, AI, payment and other subprocessors subject to relevant safeguards. For a DPA or subprocessor information, contact support@operio.run.

10. AI Results, Warranties and Availability

AI-generated tests, findings and reports may be incomplete, inaccurate, produce false positives or miss actual defects or security vulnerabilities. The Service is a testing aid, not a guarantee of software quality or a substitute for your independent review, professional judgment, security assessment or release approval. You are responsible for reviewing important findings and deciding whether to deploy, change or rely on your software.

To the extent allowed by law, the Service is supplied “as is” and “as available,” except for express obligations in these Terms. We do not promise uninterrupted, error-free or vulnerability-free operation, detection of every defect, or compatibility with every third-party environment. This does not exclude duties or remedies that cannot lawfully be excluded.

11. Liability Limits and Third-Party Claims

To the maximum extent permitted by law, Operio's total aggregate liability for all claims arising from or relating to the Service will not exceed the subscription and On-Demand fees actually paid by you to Operio in the 12 months preceding the claim.

To the maximum extent permitted by law, Operio and its officers, employees, contractors, suppliers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages.

These limitations do not affect your payment obligations or exclude liability for fraud, intentional misconduct, or liability that cannot lawfully be limited. Mandatory data-protection rights and remedies remain unaffected.

You agree to defend, indemnify, and hold harmless Operio and its officers, employees, and agents against third-party claims, damages, losses, and reasonable legal fees arising from unauthorized testing, unlawful Customer Data or content you provide or share, mishandling of credentials, or your material violation of these Terms, applicable laws, or third-party rights, except to the extent caused by Operio's own breach, negligence, or unlawful conduct.

The party seeking indemnification must provide prompt notice and reasonable cooperation. No settlement may impose non-monetary obligations on that party without its written approval.

12. Suspension, Termination and Data After Exit

We may restrict or suspend use where reasonably necessary to address fraud, security threats, unlawful testing, material breach or repeated non-payment, with notice when reasonably practicable. For a material breach capable of remedy, the affected party ordinarily has 15 days after written notice to cure, unless immediate protective action is necessary. You may independently cancel future monthly renewal under Section 6.

Before access ends, export available reports and Customer Data using supported features and revoke unneeded public links. Subscription cancellation does not by itself close your account or immediately delete data. Account closure and deletion follow the Privacy Policy and any DPA. Valid charges and provisions concerning data, confidentiality, intellectual property, liability and disputes survive as necessary.

13. Governing Law and Disputes

These Terms are governed by Delaware law, excluding conflict-of-law rules, subject to mandatory local laws. Before commencing proceedings, the parties will try in good faith to resolve a dispute after written notice to support@operio.run. Where legally permitted, claims may be brought in the state or federal courts located in Delaware, without depriving either party of a court or legal right that cannot lawfully be waived.

14. Changes and Contact

We may update these Terms from time to time and revise the Last Updated date. For material changes, we will notify Customers by email or through the Service, in advance where required by applicable law, and obtain renewed acceptance when legally required. Changes to subscription prices remain subject to the 30-day notice in Section 6. You may cancel future monthly renewal if you disagree with revised Terms. If a clause is unenforceable, the remaining clauses continue. Questions and legal notices: support@operio.run. Provider: Operio AI Inc., https://www.operio.run.
