Terms of Service

1. Acceptance of Terms

These Terms form a binding agreement between you and Operio. By creating an account, signing in, or otherwise using the Service, you confirm that you have reviewed these Terms and agree to comply with them. If you do not agree with these Terms, you must discontinue use of the Service.

2. Definitions

Throughout these Terms, the following words carry specific meanings:

  • “Service” means all products, services, software, applications, websites, APIs, AI systems, features, tools, integrations, dashboards, and related technology or documentation provided by Operio.
  • “User” or “you” means the individual or organization accessing or using the Service.
  • “Account” means the credential-protected workspace through which a User accesses the Service.
  • “Customer Data” means any content, configurations, prompts, files, test cases, environments, credentials, logs, or other information submitted to or generated through the Service by the User.
  • “Operio”, “we”, “us”, or “our” means Operio AI Inc.

3. Eligibility

Operio is intended for software teams, developers, QA professionals, product managers, and organizations.

By using the Service, you represent and warrant that:

  • You have the legal capacity to enter into a binding agreement.
  • Your use of the Service complies with all applicable laws and regulations.
  • You are responsible for ensuring that you have the necessary rights, permissions, or lawful authority to access, test, automate, or interact with any systems, applications, APIs, websites, or environments used with the Service.

The Service must not be used for unauthorized security testing, disruption, abuse, excessive automated activity, scraping, or activities that violate applicable laws or third-party terms of service.

4. User Accounts

4.1 Account Creation

Access to the Service requires an Account created using accurate and valid information. You may not create accounts using false identities or register on behalf of another person without authorization.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your Account. If you suspect unauthorized access or a security incident, you must notify us promptly at support@operio.run.

4.3 Account Suspension or Termination

Operio may suspend or terminate access to the Service without notice for violations of these Terms, misuse of the Service, security concerns, fraudulent activity, or conduct that may harm Operio, other users, or third parties.

5. Acceptable Use

Operio grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business and engineering purposes.

You agree to use the Service only in compliance with these Terms and applicable laws.

You agree not to:

  • Access or test systems you do not own or are not authorized to access.
  • Bypass or attempt to bypass security protections, rate limits, or access restrictions.
  • Reverse engineer, decompile, copy, or attempt to extract source code, models, or algorithms from the Service.
  • Upload malicious code or use the Service in a way that disrupts or harms other users or infrastructure.
  • Abuse usage limits or share access beyond what your subscription permits.
  • Resell, sublicense, or commercially redistribute the Service without written authorization from Operio.

6. Intellectual Property Rights

6.1 Ownership

The Service, including all software, AI systems, branding, interfaces, designs, and related materials, remains the property of Operio and its licensors. These Terms do not transfer ownership rights to you.

6.2 License to Use

Subject to these Terms and payment of applicable fees, Operio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal purposes only.

6.3 Customer Data

You retain ownership of your Customer Data. By submitting Customer Data to the Service, you grant Operio the limited rights necessary to host, store, process, transmit, and display that data solely for the purpose of providing, maintaining, securing, and improving the Service for you.

Operio does not sell Customer Data and does not use Customer Data to train shared AI models serving other customers without your explicit written permission.

6.4 Feedback

Any suggestions, feedback, or improvement ideas you provide may be used by Operio without restriction or obligation.

7. AI Features and Outputs

Operio may generate AI-assisted outputs including test scenarios, validations, summaries, recommendations, logs, and execution insights.

Operio is designed to improve software quality, accelerate testing workflows, and help teams identify issues earlier in the development lifecycle. While we continuously work to improve the accuracy and reliability of the Service, AI-assisted outputs may not be complete or error-free in every scenario.

Users remain responsible for reviewing and approving testing outcomes, release decisions, security checks, and production deployments.

Operio does not guarantee the detection of every issue, vulnerability, defect, or regression in all environments or use cases.

8. Payment Terms

8.1 Pricing

Use of the Service requires a paid subscription unless explicitly stated otherwise by Operio. Pricing may be updated periodically. Existing subscribers will receive notice before pricing changes take effect for their subscription.

8.2 Payment Processing

Payments are processed through authorized third-party payment providers.

8.3 Refunds

If you cancel a paid plan, your access continues until the end of the period already paid for. Partial refunds for unused time within a billing cycle are not provided.

9. Confidentiality

Each party may receive confidential or non-public information from the other party in connection with the Service, including technical, business, operational, or customer-related information.

Each party agrees to:

  • protect such information using reasonable care,
  • use it only for purposes related to the Service, and
  • not disclose it to third parties except as required by law.

10. Privacy and Data Protection

Your use of the Service is also governed by Operio’s Privacy Policy.

Where applicable data protection laws require a Data Processing Agreement (DPA), Operio will make a DPA available upon request.

11. Third-Party Services

The Service may integrate with or rely on third-party platforms, APIs, browsers, hosting providers, or external tools.

Operio is not responsible for the availability, content, security practices, or performance of third-party services.

Your use of third-party services is governed by their respective terms and policies.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

To the maximum extent permitted by law, Operio disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.

Operio does not guarantee that the Service will be error-free, fully secure, or compatible with every environment or workflow.

Your use of the Service is at your own risk.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Operio, its officers, employees, contractors, partners, suppliers, or affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, data, goodwill, or business interruption, resulting from (i) your use of or inability to use the Service; (ii) any conduct or content of any third party; (iii) unauthorized access or alteration of your data.

14. Indemnification

You agree to indemnify, defend, and hold harmless Operio, its officers, employees, contractors, partners, suppliers, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal and attorneys’ fees, arising out of or related to:

  • your use of the Service,
  • your Customer Data,
  • your violation of these Terms, or
  • your violation of applicable law or third-party rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts.

16. Changes to These Terms

Operio may update these Terms from time to time to reflect product updates, legal requirements, or operational changes.

Updated versions will be published on this page with a revised effective date. Your continued use of the Service after such updates become effective constitutes your acceptance of the revised Terms.
